Terms of Service

These Terms of Service (“Terms”) govern access to and use of the Paius website, application, software, dashboards, preflight tools, receipts, analytics, reports, approvals, and related services (collectively, the “Service”).

The Service is operated by Kinard Applied Solutions LLC, doing business through the product Paius (“Paius,” “we,” “us,” or “our”).

By accessing or using the Service, creating an account, clicking to accept these Terms, or using any Paius feature, you agree to these Terms. If you are using the Service on behalf of a business, organization, or other entity, you represent that you have authority to bind that entity, and “you” includes that entity.

2. The Service

Paius is a SaaS platform that helps users estimate, review, manage, and govern AI workflow costs, risks, approvals, usage, analytics, business value, and related operational decisions.

Paius may provide cost estimates, workflow evaluations, risk indicators, model comparisons, approval records, receipts, dashboards, and analytics. The Service is informational and decision-support software. Paius does not provide legal, financial, accounting, medical, tax, compliance, procurement, employment, or professional advice.

3. Eligibility

Paius is currently operated from the United States and primarily serves U.S.-based users and organizations. Users under 18 may use the Service only with permission and supervision from a parent or legal guardian, or under an authorized business, school, or organizational arrangement.

Paius is not directed to children under 13. Do not use the Service if you are under 13 unless Paius has expressly authorized a compliant arrangement in writing.

4. Accounts and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate account information and promptly update it if it changes.

You must notify Paius promptly at support@getpaius.com if you believe your account has been compromised or used without authorization.

Paius may require email verification, password reset procedures, Google OAuth, role-based permissions, and other security controls.

5. Organization Accounts

If you use Paius as part of a team, company, workspace, or organization, organization administrators may control access, invite or remove users, view workspace activity, access Customer Content, export workspace records, manage billing, configure policies, and review preflight assessments, receipts, costs, risks, analytics, and approvals.

You are responsible for ensuring that your organization’s use of Paius complies with applicable internal policies, employment obligations, confidentiality duties, and applicable laws.

6. Customer Content

“Customer Content” means any content, data, files, prompts, workflow descriptions, task descriptions, cost assumptions, budgets, notes, comments, approvals, receipts, analytics records, or other information submitted to, uploaded to, stored in, or generated through the Service by or for you.

You retain ownership of your Customer Content. You grant Paius a limited, non-exclusive, worldwide license to host, store, process, display, transmit, reproduce, and use Customer Content as necessary to provide, maintain, secure, support, and improve the Service, comply with law, and enforce these Terms.

You represent and warrant that you have all rights, permissions, and authority necessary to submit Customer Content to Paius and to permit Paius to process it under these Terms.

7. Sensitive and Regulated Data

Paius does not require users to submit sensitive or regulated data. If you choose to submit sensitive, confidential, regulated, or proprietary information, you are responsible for ensuring that you have legal authority to do so and that your use of the Service complies with applicable laws and obligations.

Paius is not designed to be used as a system of record for protected health information, payment card data, government identification numbers, children’s data, or other highly regulated data unless Paius expressly agrees in writing.

8. AI Features and Limitations

Paius uses or may use AI service providers, including OpenAI, Anthropic, and Google Gemini, to support product functionality and service operations.

Under Paius's current architecture and feature configuration, customer-submitted prompts, workflow descriptions, uploaded files, and Customer Content are not transmitted to external AI model providers unless Paius discloses that processing, obtains any required consent, or the customer enables a feature that requires such transmission.

Paius does not use Customer Content to train Paius models and does not fine-tune AI models using Customer Content.

We may use anonymized, aggregated, or de-identified data to understand product usage, improve system performance, develop features, and evaluate business trends, provided that such data does not identify a customer or individual.

AI-generated or AI-assisted outputs may be incomplete, inaccurate, outdated, or inappropriate for your specific circumstances. You are responsible for independently reviewing and validating outputs before relying on them.

9. Acceptable Use

You agree to comply with the Paius Acceptable Use Policy. You may not misuse the Service, interfere with its operation, attempt unauthorized access, reverse engineer the Service, scrape data, abuse free plans, violate laws, infringe intellectual property rights, or use Paius to harm others.

Paius may suspend or terminate access for violations of these Terms, the Acceptable Use Policy, or applicable law.

10. Plans, Billing, and Payment

Paius offers a free plan and paid subscription plans. Current subscription plans include:

Free: $0/month;
Paius Team: $59/month equivalent when billed every 6 months ($354 every 6 months), or $53/month equivalent when billed annually ($637 annually).
Paius Business: $139/month equivalent when billed every 6 months ($834 every 6 months), or $125/month equivalent when billed annually ($1,501 annually).

Annual billing is advertised as saving 10% compared with the 6-month monthly-equivalent price. Display prices are rounded to whole dollars.

Prices, features, limits, and plan names may change over time. Paid subscriptions renew automatically on the applicable 6-month or annual basis unless canceled in accordance with the Billing & Subscription Policy and Refund/Cancellation Policy.

Payments are processed by Stripe. By purchasing a paid plan, you authorize Paius and Stripe to charge the applicable payment method for recurring subscription fees, taxes, and other charges.

11. Taxes

Prices may not include applicable taxes. Paius may calculate, collect, and remit applicable sales tax, use tax, VAT, or similar taxes through Stripe Tax or other tax tools. You are responsible for taxes not collected by Paius where applicable.

12. Cancellation

You may cancel through the Stripe billing portal when that functionality is enabled for your workspace, or by emailing support@getpaius.com.

If you cancel by email, send your request from the email address associated with your account (or from an authorized administrator email). Your request should include the account email, organization name if applicable, and a clear statement that you want to cancel.

Unless otherwise required by law or agreed in writing, cancellation takes effect at the end of the then-current billing period. You will continue to have access to paid features until the end of the paid billing period.

13. Refunds

Except where required by law, payments are non-refundable. Paius does not provide refunds, credits, or prorated refunds for:

Partial billing periods;
Unused time;
Downgrades;
Failure to use the Service;
Accidental renewals;
Dissatisfaction after purchase;
Customer-side technical issues;
Failure to cancel before renewal;

14. Intellectual Property

Paius and its software, design, branding, logos, website, documentation, workflows, analytics, reports, features, interfaces, and related materials are owned by Paius, Kinard Applied Solutions LLC, or licensors and are protected by intellectual property laws.

These Terms do not transfer ownership of Paius intellectual property to you.

You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, or create derivative works based on Paius except as expressly permitted by law or these Terms.

15. Feedback

If you provide feedback, suggestions, ideas, or recommendations, you grant Paius a perpetual, irrevocable, worldwide, royalty-free license to use that feedback without restriction or compensation.

16. Third-Party Services

Paius may rely on or integrate with third-party services, including Vercel, Neon, Stripe, PrivateEmail, Resend, Google OAuth, optional SMTP email providers, OpenAI, Anthropic, Google Gemini, and analytics, monitoring, or infrastructure providers. Third-party services are governed by their own terms and policies. Paius is not responsible for third-party services outside its control.

17. No Professional Advice

Paius provides informational and operational decision-support tools. Paius does not provide legal, tax, accounting, financial, procurement, medical, employment, compliance, or professional advice. You are responsible for consulting qualified professionals where appropriate.

18. Disclaimers

The Service is provided “as is” and “as available.” To the fullest extent permitted by law, Paius disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, reliability, and uninterrupted operation.

Paius does not guarantee that estimates, recommendations, risk scores, receipts, analytics, or outputs will be accurate, complete, secure, available, or suitable for your needs.

19. Limitation of Liability

To the fullest extent permitted by law, Paius, Kinard Applied Solutions LLC, its owners, affiliates, officers, employees, contractors, suppliers, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost savings, lost data, business interruption, reputational harm, or procurement decisions, even if advised of the possibility of such damages.

To the fullest extent permitted by law, Paius’s total liability for all claims arising out of or relating to the Service or these Terms will not exceed the greater of: (a) the amount you paid Paius for the Service in the three months before the event giving rise to the claim; or (b) $100.

Some jurisdictions do not allow certain limitations, so some limitations may not apply to you.

20. Indemnification

You agree to defend, indemnify, and hold harmless Paius, Kinard Applied Solutions LLC, its owners, affiliates, officers, employees, contractors, suppliers, and licensors from and against claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

Your use of the Service;
Your Customer Content;
Your violation of these Terms or the Acceptable Use Policy;
Your violation of law;
Your infringement or misappropriation of third-party rights;
Your misuse of AI outputs, estimates, recommendations, or analytics.

21. Suspension and Termination

Paius may suspend or terminate your access to the Service if Paius reasonably believes that you violated these Terms, created security risk, failed to pay fees, abused the Service, violated law, or caused harm to Paius, users, or third parties.

Upon termination, your right to use the Service ends. Certain provisions will survive termination, including provisions regarding payment obligations, intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, and data retention.

22. Data Export and Deletion

Paius currently does not provide self-service account deletion inside the application. To request account deletion, data export, correction, or access, contact support@getpaius.com. Organization administrators may request export of workspace data through the same channel.

We may need to verify your identity and authority before completing a request. Organization data may require administrator authorization or coordination with the organization owner.

Deleted account data is generally deleted or de-identified within 30 days after a verified deletion request, subject to lawful retention exceptions.

Data may be retained as described in the Privacy Policy, including up to five years for workspace records and Customer Content, prompt and output content according to the workspace retention setting, and up to seven years for billing, tax, and accounting records, unless deletion is required or permitted earlier.

23. Changes to the Service or Terms

Paius may modify the Service or these Terms from time to time. Updated Terms will be posted on the Paius website with a revised “Last Updated” date. If changes are material, Paius may provide additional notice through the Service or by email.

Continued use of the Service after changes become effective means you accept the updated Terms.

24. Governing Law

These Terms are governed by the laws of the Commonwealth of Kentucky, without regard to conflict-of-law principles.

25. Dispute Resolution and Venue

Before filing a claim, you agree to contact Paius at support@getpaius.com and attempt to resolve the dispute informally.

Unless otherwise required by law, any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Kentucky, and you consent to personal jurisdiction and venue in those courts.

26. Entire Agreement

These Terms, together with the Privacy Policy, Acceptable Use Policy, Billing & Subscription Policy, Refund/Cancellation Policy, AI Disclaimer, Cookie Policy, and any applicable order form or written agreement, constitute the entire agreement between you and Paius regarding the Service.
