Terms of Service

These Terms of Service ("Terms") form a legal agreement between you and Kinard Applied Solutions for your use of Paius. By creating an account, accepting an invite, or using the service, you agree to these Terms.

1. Service description

Paius helps organizations estimate AI-related task costs before execution and log post-execution outcomes for governance and reporting. Estimates are generated from assumptions, model pricing inputs, and task metadata. Estimates are not guarantees, and you remain responsible for validating actual spend against provider invoices and internal controls.

2. Accounts

  • You must provide accurate information and keep login credentials confidential.
  • Organization admins are responsible for workspace governance, including user access management and invited-member lifecycle decisions.
  • You must promptly notify us of suspected unauthorized access or misuse.

3. Acceptable use

You may not use Paius to:

  • Violate applicable law or infringe third-party rights.
  • Introduce malware, attempt unauthorized access, or disrupt service operations.
  • Bypass technical controls, abuse APIs, or evade rate limits.
  • Reverse engineer or bulk extract proprietary taxonomy or pricing logic, except as permitted by law.

4. Data ownership

As between the parties, your organization retains ownership of workspace content you submit to Paius. You grant us a limited, non-exclusive license to host, process, transmit, and display that content solely to provide, secure, support, and improve the service. Privacy handling is described in our Privacy Policy.

5. Fees and plan changes

Paid features, plan terms, and product capabilities may change over time. Unless a separate signed order form states otherwise, posted plan terms and pricing govern.

6. Availability and support

We aim to maintain reliable availability, but the service is provided on an "as is" and "as available" basis unless an executed enterprise agreement states otherwise. We may suspend access where reasonably necessary for security, abuse prevention, maintenance, or legal compliance.

7. Term and termination

You may stop using the service at any time. We may suspend or terminate access for material breach, unlawful conduct, or security risk. Organization administrators may request deletion of organization data, which is generally completed within 30 days, subject to legal retention and security exceptions.

8. Disclaimers

Except as expressly stated in a signed agreement, Paius and related services are provided without warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill. To the maximum extent permitted by law, our aggregate liability arising out of or related to the service and these Terms will not exceed the greater of USD $100 or the amount paid by your organization to us in the twelve months before the event giving rise to the claim.

10. Indemnification

You agree to defend, indemnify, and hold harmless Kinard Applied Solutions from and against claims, liabilities, damages, and expenses arising from your misuse of the service, violation of these Terms, or violation of applicable law.

11. Governing law and venue

These Terms are governed by the laws of the Commonwealth of Kentucky, United States, without regard to conflict-of-law rules. The parties consent to exclusive jurisdiction and venue in state or federal courts located in Kentucky, unless applicable law requires otherwise.

12. Changes to these Terms

We may update these Terms periodically. If we make material changes, we will post the updated Terms and revise the effective and last-updated dates above. Continued use of the service after the effective date constitutes acceptance of the updated Terms.
